Terms of Service

1. Agreement to these Terms
These Terms of Service ("Terms") form a binding agreement between you and Oratoh ("Oratoh", "we", "us", or "our") governing your access to and use of the Oratoh website, mobile experiences, APIs, event rooms, ticketing services, and related features (collectively, the "Service"). By accessing or using the Service, creating an account, or purchasing a ticket, you confirm that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.
2. Eligibility
You must be at least 16 years old (or the age of digital consent in your jurisdiction) to use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
3. Accounts and security
We use passwordless email sign-in. You are responsible for maintaining access to the email address linked to your account and for all activity under your account. You must notify us promptly of any unauthorized access. We may suspend or terminate accounts that violate these Terms, applicable law, or pose a security or trust risk.
4. The Oratoh Service
Oratoh is a marketplace and platform that lets organizers publish events, sell tickets, and host event rooms, and lets attendees discover and join those events. Oratoh acts as a limited agent of the organizer for the purpose of collecting ticket payments. The contract for the event itself is between you and the organizer.
5. Tickets, orders, and payments
- All prices are shown in the currency indicated at checkout and may include service fees and applicable taxes.
- Tickets are licenses to attend an event subject to the organizer's rules and venue policies. They are not securities or investments.
- Refunds, exchanges, and rescheduling are governed by the organizer's stated policy at the time of purchase, except where local consumer law requires otherwise.
- Resale of tickets may be restricted by the organizer or local law. Reselling above face value is prohibited where unlawful.
- You authorize Oratoh and its payment processor (e.g., Stripe) to charge your payment method for the total amount of your order.
6. Cancellations and event changes
If an organizer cancels, materially reschedules, or relocates an event, you may be entitled to a refund under the organizer's policy and applicable law. Oratoh will pass on refunds processed by the organizer through the original payment method. Oratoh is not liable for the organizer's performance, the quality of the event, or any consequential losses such as travel or accommodation.
7. Organizer obligations
Organizers are independently responsible for the accuracy of event listings, compliance with venue, safety, tax, and consumer-protection laws, fulfilling tickets, handling attendee data lawfully, and honoring their stated refund policy. Organizers grant Oratoh a non-exclusive license to host and display their content as needed to operate the Service.
8. User content and conduct
You retain ownership of content you post (questions, posts, room messages, profile data). You grant Oratoh a worldwide, non-exclusive, royalty-free license to host, display, and distribute that content for the purpose of operating and promoting the Service. You agree not to:
- upload unlawful, infringing, defamatory, hateful, sexually exploitative, or harassing material;
- impersonate others or misrepresent your affiliation;
- scrape, reverse engineer, or interfere with the Service;
- attempt to gain unauthorized access to accounts, data, or systems;
- use the Service to send spam or unsolicited marketing.
9. Intellectual property
The Service, including software, design, branding, and aggregated content, is owned by Oratoh or its licensors and protected by intellectual property laws. Except for the limited license to use the Service as permitted by these Terms, no rights are transferred to you.
10. Third-party services
The Service integrates with third-party providers (for example, payment processing, email delivery, analytics, and authentication). Your use of those features is also subject to the third party's terms. We are not responsible for third-party services we do not control.
11. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law. We do not warrant that the Service will be uninterrupted, secure, or error-free.
12. Limitation of liability
To the fullest extent permitted by law, Oratoh and its officers, employees, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, or goodwill arising from or relating to the Service. Our aggregate liability for any claim arising out of these Terms or the Service is limited to the greater of (a) the amount you paid Oratoh in the 12 months preceding the claim, or (b) USD 100. Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for fraud, gross negligence, willful misconduct, or death or personal injury caused by negligence.
13. Indemnification
You agree to indemnify and hold harmless Oratoh from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your content, or your violation of these Terms or applicable law.
14. Termination
You may stop using the Service at any time. We may suspend or terminate your access immediately if you breach these Terms or if necessary to protect users, comply with law, or protect Oratoh. Sections that by their nature should survive termination will survive (including IP, disclaimers, liability, indemnity, and dispute resolution).
15. Governing law and disputes
These Terms are governed by the laws of the jurisdiction in which Oratoh is established, without regard to its conflict of laws rules. Disputes will be resolved in the competent courts of that jurisdiction, except where mandatory consumer-protection law grants you the right to bring claims in your country of residence. Nothing in this section limits your statutory rights as a consumer.
16. Changes to these Terms
We may update these Terms from time to time. If changes are material, we will notify you (for example, by email or in-product notice) before they take effect. Your continued use after the effective date constitutes acceptance.
